The Inside Track: Section 363 Sales and the Advantages (and Disadvantages) of being the Stalking Horse in the US

In United States bankruptcy proceedings, debtors are permitted to sell property of their estate free and clear of all liens, claims, and encumbrances pursuant to 11 U.S.C. § 363. This can be an excellent opportunity for potential purchasers, as they are able to buy these assets under the protection of a court order barring most creditors of the seller from asserting any of their claims against the purchaser. >>

Larry Pascal, the chairman of the Americas Practice Group, has extensive experience advising multinational companies with their investments throughout Latin America and the Caribbean (more than 35 jurisdictions). He also has served as adjunct professor at SMU Dedman School of Law and University of Texas at Dallas - Graduate School of Business. Mr. Pascal is also a leader in the international bar community, having served as Chair of the International Law Section of the State Bar of Texas, where he headed a campaign to adopt the ABA Model Rule for Foreign Legal Consultants. He was recently appointed to chair a Texas Supreme Court task force on international law. Mr. Pascal was recognized in Chambers Latin America 2010 as one of the leading practitioners in the country for Latin American Mergers and Acquisitions, and by Latin Lawyer 250 in 2009. He was also selected for inclusion in the International Who's Who of Aviation Lawyers 2010 (Who's Who Legal). He was recognized in Best Lawyers in America in International Trade and Finance Law, 2011-2012. He has published articles on Latin American legal and in-bound investment issues in English, Spanish, and Portuguese.

  • Representing U.S. and Latin American clients in Latin American energy projects in Mexico, Brazil, Peru, Colombia, Central America and the United States (M&A and project finance).
  • Representing U.S. real estate developers in all aspects of their Costa Rican real estate projects, including concession projects at the Papagayo Resort in Guanacaste, Costa Rica.
  • Representing Spanish multinational in Texas toll road projects.
  • Representing U.S. and foreign airlines and other aviation clients in their mergers and acquisitions transactions in Latin America.
  • Representing information technology companies in their outsourcing, acquisition, and licensing contracts in Latin America and the Caribbean.
